agreed to sign this sponsorship contract with the following terms:

 

II.OBIECTUL CONTRACT

 

2.1 The purpose of the contract is providing financial support irrevocably by the sponsor for charity "Timi & Raluca", which will use the money or any support order material or financial received to accomplish the purposes for which it was founded and which are provided in the statute and the memorandum accompanying copy go.

2.5

Taxpayers who made sponsorship and / or acts of patronage, according to Law no. 32/1994 on sponsorship, with subsequent amendments, and Law Library no. 334/2002, republished, with subsequent amendments, and those who provide private scholarships, by law, against the corporation tax amounts, if aggregate expenditure meets the following conditions: 1. is limited to 3 per thousand of the turnover;

2. not exceed more than 2% of corporation tax.

 

2.6

In 8 of the Law nr.32/19.05.1994- Romanian natural or legal persons engaged in humanitarian sponsorship benefits from reducing the taxable equivalent sponsorship, but not more than 5% of taxable income, excluding income from wages for individuals.

 

III. OBLIGATIONS OF THE PARTIES

 

 3.1. The sponsor undertakes to provide the beneficiary the amount stipulated in this contract.

 

3.2. The sponsor agrees to not pursue, directly or indirectly, directing the recipient activity.

 

3.3

The sponsor may not sponsor money or goods from budgetary sources, according to law.

 

3.4

Recipient will use the money only for the purposes of the Association, under its statutes and articles of association.




 

3.5

Sponsor / beneficiary can bring sponsorship to the public by promoting the name, brand or sponsor"s image, in a way that does not endanger, directly or indirectly sponsored activity, public order, morals.

3.6

In sponsorship activities are prohibited as sponsor and beneficiary to make advertising or commercial advertising prior, concurrent or later in their favor or others.

 

3.7

The beneficiary is exempt from income tax for financial assets from sponsorship.

 

3.8

Beneficiary undertakes advertising means being exposed to places agreed to not obscure or impede their viewing by the public at events / actions covered by sponsorship and take all necessary measures to avoid possible damage, deterioration, dismantling etc..

 

3.9

The beneficiary will sponsor an activity report, the justification of money, and one copy of publicity material provided.

 

IV TERM CONTRACT

 

4.1 Duration of the contract is nederminata, starting semnarii.Contractul date may be extended by written agreement of the contracting parties by addendum.

V. TERMINATION OF CONTRACT

 

 5.1. This agreement terminates automatically, without the necessary intervention of an arbitral tribunal or court, if either party:

- They do not run one of the basic obligations of this contract;

- State is declared in default or has been triggered liquidation (bankruptcy) before execution of this contract;

- Assigns the rights and obligations stipulated in this contract without the other party.

- They violate any of its obligations, after being warned by a written notification by the other party, as a new non-compliance will result in termination / cancellation of this contract.

- Within 15 days of receipt of the notification which was made aware that has not performed or improperly performs any of the obligations incumbent.

- The cause of the cease invoking the provisions of this contract will notify the other party, at least 30 days before the date on which termination is to have effect




- Termination of this contract will have no effect on the already outstanding obligations between the contracting parties.

 

VI. FORCE MAJEURE

 

6.1. Neither of the Contracting Parties shall not be liable for non-term and / or improperly executing - total or partial - of any obligation imposed on it under this contract, if non-performance or improper performance of those obligations was due to force majeure, as defined by law. 6.2. Party invoking Force Majeure shall notify the other party, within 24 hours of the event and take all possible measures in order to limit the consequences. 6.3. If within five days of production, the event continues, and the parties are entitled to notice of right to terminate this contract without any of them to claim damages.

 

VII. Notices.

 

7.1. The acceptance of both parties, any notification to the other one of them is true if valid will be sent to the address provided in the introductory premises of this contract.

7.2. If notification is by mail, it will be sent by registered letter with acknowledgment of receipt (AR) and is considered received by the addressee on the date mentioned by the Post Office on receiving this confirmation.

7.3. If confirmation is sent by telex or e-mail, it is considered received on the first working day after it was sent.

7.4. Verbal notifications are not taken into account by either party, if confirmed, through one of the ways specified in the preceding paragraphs.

 

VIII. LITIGATION

 

8.1. The parties agreed that all disputes concerning the validity of this agreement or arising from the interpretation, performance or termination thereof be resolved amicably by their representatives. 8.2. If it is not possible to settle disputes amicably, parties will address the competent courts.

 

IX. FINAL CLAUSES

 

 9.1. Modification of this contract addendum signed only by the contracting parties.

 9.2. This contract, together with its annexes which are part of the content or represents will of the parties and remove any other verbal agreement between them, before or after its conclusion




9.3. If the parties violate their obligations, by failing to suffer from any injury to the right of enforcement of pledges or cash equivalent of those obligations does not mean it"s right or quit.
